PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING ANY SERVICES ASSOCIATED WITH PLANCK NETWORK LTD. OR INTERACTING WITH $PLANCK TOKEN

These Terms of Service ("Terms") govern your access to and use of the Planck Network Web3 Services, including but not limited to decentralized applications, smart contracts, token interactions, staking tools, governance, and related features offered by Planck Network Ltd. ("Planck", "we", "us", or "our"). By accessing or using the Web3 Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Web3 Services.

Planck Network Ltd. is a company incorporated in the British Virgin Islands with company number 2173759 and registered office at Craigmuir Chambers, Road Town, Tortola, VG1110, BVI.

1. Definitions

"$PLANCK Token" refers to the native utility token of the Planck Network ecosystem used for governance, staking, fees, and utility access.

"Web3 Services" refers to the decentralized features, tools, smart contracts, staking pools, governance protocols, and applications built on or interacting with the Planck protocol.

"User" or "you" refers to any individual or entity accessing or interacting with the Web3 Services.

"Wallet" refers to a blockchain-compatible cryptographic key pair capable of interacting with the Planck Network via signing transactions.

"Digital Assets" refers to blockchain-based tokens including but not limited to $PLANCK.

"Applicable Law" means all laws, regulations, and rules applicable to you based on your jurisdiction and activity.

2. Eligibility and User Representations

  • You must be at least 18 years old and legally capable of entering into a binding agreement to use the Web3 Services.
  • You represent that you are not a resident, citizen, or entity organized or located in a jurisdiction subject to sanctions or embargoes including, but not limited to: North Korea, Iran, Syria, Cuba, Russia, Belarus, or any country or region embargoed or sanctioned by the United Nations, United States, United Kingdom, or European Union.
  • You agree not to use VPNs or other means to circumvent these restrictions.
  • You represent that you are in compliance with all Applicable Laws in your jurisdiction regarding blockchain technologies, token usage, staking, and digital asset transactions.

3. Use of Web3 Services and Assumption of Risk

You acknowledge and accept the inherent risks of blockchain technologies, including but not limited to:

  • Irreversible transactions,
  • Smart contract bugs,
  • Loss of access due to lost private keys,
  • Market volatility,
  • Regulatory uncertainties.
  • You understand that your interaction with Web3 Services is at your own risk and that Planck does not custody or control your tokens, keys, or wallet access.
  • Planck is not liable for any loss arising from your use of third-party wallets or blockchain infrastructure.

4. Use of the $PLANCK Token

$PLANCK is used for:

  • GPU mining rewards,
  • Staking for operators and delegators,
  • Paying transaction and bridge fees,
  • Participating in on-chain governance,
  • Accessing services and premium features,
  • Earning liquidity incentives and rewards.
  • $PLANCK does not confer equity, ownership, or any right to share in profits, revenues, or decision-making beyond on-chain governance.
  • Planck makes no representations regarding the value, liquidity, or regulatory status of $PLANCK.
  • You are solely responsible for any tax obligations arising from your receipt, holding, or disposal of $PLANCK.
  • You acknowledge that tokenomics, supply schedules, and smart contract functions are subject to change via governance or development upgrades.

5. Governance Participation

  • Governance is conducted through token-weighted mechanisms allowing eligible users to propose and vote on changes.
  • Participation in governance is optional and does not imply fiduciary or legal duties between Planck and any user.
  • Governance parameters, thresholds, and procedures may be updated by the community or developers.
  • Planck may facilitate governance but does not guarantee any particular outcome or implementation.

6. Intellectual Property and Content

  • All intellectual property related to the Web3 Services, including logos, branding, documentation, software, and smart contracts, belongs to Planck or its contributors.
  • Open-source components may be licensed under specific licenses (e.g., MIT, GPL).
  • You retain rights to content you submit but grant Planck a non-exclusive, royalty-free license to use it for platform operation, improvement, or display.
  • Unauthorized use of Planck's branding, UI, or content is prohibited.

7. Wallets and Private Key Security

  • You are solely responsible for managing your wallet, including safeguarding private keys and seed phrases.
  • Planck does not control or recover lost wallets or tokens.
  • If your wallet is compromised or you lose access, you may lose all associated digital assets.
  • Planck may blacklist wallets that are found engaging in malicious activity, spamming, or violating these Terms.

8. Security and Exploits

  • You agree not to exploit bugs, vulnerabilities, or misconfigurations in smart contracts, front-ends, or any Web3 Service.
  • You agree not to use automated tools to spam, overload, or manipulate network operations, consensus, or governance.
  • Responsible disclosure of bugs is encouraged and may be eligible for a bounty, subject to Planck's discretion.

9. Sanctions, AML, and Compliance

  • Planck is a decentralized protocol and does not conduct KYC or AML checks directly.
  • Planck may use automated tools to flag or restrict interaction with wallets that are associated with sanctioned jurisdictions or illicit activity.
  • You agree not to use the Web3 Services for money laundering, terrorist financing, or other illegal purposes.
  • Planck may cooperate with lawful investigations and share data if required under Applicable Law.

10. Disclaimers

  • The Web3 Services and all content are provided "as is" and "as available" without warranty of any kind.
  • Planck disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Planck does not guarantee uninterrupted access, error-free functionality, or compatibility with all wallets or browsers.

11. Limitation of Liability

Planck shall not be liable for:

  • Loss of funds or tokens,
  • Smart contract vulnerabilities,
  • Network or service outages,
  • Loss of access to staking rewards,
  • Governance outcomes or proposals.

In no event shall Planck's total liability exceed $100 USD.

12. Indemnity

You agree to indemnify and hold harmless Planck, its officers, affiliates, and contributors from any claims, damages, or liabilities arising out of your use of the Web3 Services or violation of these Terms.

13. Termination

  • Planck may suspend or terminate your access to the Web3 Services at any time for violations of these Terms or Applicable Law.
  • Termination does not affect your obligations under these Terms, including indemnification and disclaimers.

14. Governing Law

  • These Terms are governed by the laws of the British Virgin Islands, without regard to conflict of laws.
  • The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Dispute Resolution

  • Disputes shall first be attempted to be resolved amicably.
  • If unresolved, disputes shall be submitted to binding arbitration under the BVI International Arbitration Centre rules.
  • You agree to waive any right to class actions or jury trials.

16. Miscellaneous

  • These Terms constitute the entire agreement between you and Planck regarding Web3 Services.
  • If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver shall be construed as continuing or future waiver.
  • You may not assign rights under these Terms without Planck's consent; Planck may assign freely.
  • Planck shall not be liable for force majeure events beyond its control.
